For executives, business owners, and retirees, coordinated investment and CPA planning has become increasingly important. For decades, Washington State has been known for what it doesn’t have: a state income tax. That distinction has made Washington particularly attractive for tech executives, business owners, and high-net-worth families who benefit from the combination of a thriving economy and favorable tax treatment. That landscape is shifting. Over the past year, Washington has enacted significant changes to its capital gains and estate taxes, and state legislators have now introduced a proposed income tax on high earners that, if passed, would fundamentally alter the calculus for residents with income above $1 million. Whether you’re a tech executive with equity compensation, a business owner weighing a liquidity event, or a retiree managing a substantial portfolio, these developments warrant careful attention. Here’s what’s changed, what’s proposed, and what it may mean for your planning. What’s Already in Effect: The 2025 Capital Gains and Estate Tax Changes In May 2025, Governor Ferguson signed SB 5813 into law, making two significant changes that are already affecting high-net-worth Washingtonians. A More Progressive Capital Gains Tax Washington’s capital gains tax, which took effect in 2022, originally imposed a flat 7% tax on long-term capital gains exceeding $250,000. The standard deduction is adjusted annually for inflation and has risen to $278,000 for 2025. The rate structure has now become graduated: 7% on long-term gains between $278,000 and $1 million 9.9% on long-term gains exceeding $1 million This change applies retroactively to January 1, 2025. For context, when combined with the federal long-term capital gains rate (20% for high earners) and the 3.8% Net Investment Income Tax, Washington residents selling concentrated stock positions or businesses with gains above $1 million now face a combined marginal rate approaching 34%. The standard exemptions remain in place — real estate sales, retirement account distributions, and certain small business transactions are excluded — but for those with significant equity compensation, concentrated stock, or pending liquidity events, this rate increase is material. A Higher Estate Tax Exemption — With a Higher Top Rate The estate tax changes, effective July 1, 2025, present a more nuanced picture. The exemption amount increased from $2.193 million to $3 million, providing relief for estates in that range. However, the top marginal rate increased from 20% to 35% for taxable amounts exceeding $9 million above the exemption. That 35% rate makes Washington’s estate tax among the highest of any state in the nation. Perhaps more significantly, Washington still does not allow portability of the estate tax exemption between spouses. Under federal law, a surviving spouse can inherit any unused portion of their deceased spouse’s exemption. Washington offers no such provision. Without proper planning, a married couple could permanently lose one spouse’s $3 million exemption, resulting in substantial unnecessary state estate tax. What’s Proposed: The Washington Millionaires Tax On February 3, 2026, legislative leaders introduced SB 6346 (and its House companion HB 2724), proposing a 9.9% income tax on Washington residents with more than $1 million in annual income. The bill is moving through the 60-day legislative session, which ends March 12, 2026. Here are the key structural elements from the legislative draft: Who Would Be Affected The tax would apply to Washington residents — defined as either someone domiciled in the state, or someone who maintains a place of abode in Washington and is present more than 183 days per year. A domiciliary can avoid Washington tax residency only by maintaining no permanent abode in the state, maintaining one elsewhere, and spending 30 or fewer days in Washington during the tax year. For those who meet the residency threshold and have income exceeding $1 million, the 9.9% rate would apply to the excess. How Income Would Be Calculated The proposed tax starts with federal adjusted gross income and makes several adjustments relevant to high earners: Capital gains coordination: Long-term capital gains already included in federal AGI would be removed and replaced with Washington capital gains as defined under the existing capital gains tax. A credit would be available for Washington capital gains taxes already paid, preventing double taxation on the same gains. Out-of-state municipal bonds: Interest from municipal bonds issued outside Washington would be added back to income (Washington bond interest would remain exempt). Business taxes: B&O taxes deducted from federal income would be added back, with a corresponding credit for B&O taxes paid on income included in the Washington tax base. Deductions and Credits The bill provides a $1 million standard deduction per individual. Notably, married couples would share a combined $1 million deduction regardless of filing status — not $2 million. An additional charitable deduction of up to $50,000 would be available. For married couples or domestic partners, the combined charitable deduction is limited to $50,000 regardless of filing status; unmarried individuals each receive a separate $50,000 deduction. Credits would be available for income taxes paid to other states, Washington capital gains taxes, B&O taxes, and taxes paid through the pass-through entity election. However, these credits would not be refundable and could not be carried forward to other tax years. Timing If enacted as drafted, the tax would take effect January 1, 2028, with first returns due in April 2029 and estimated tax payments beginning in July 2029. What This Could Mean for Your Planning While the proposed income tax has not been enacted and may be amended or defeated, the combination of existing changes and potential future changes creates a planning environment that rewards proactive analysis. For Those with Equity Compensation or Concentrated Stock The graduated capital gains tax is already in effect, meaning large equity dispositions in 2025 and beyond face the 9.9% rate on gains exceeding $1 million. Or maybe you simply want to ensure that the wealth you're creating doesn't get destroyed by estate taxes a generation from now. Here's what most people don't realize:some of the most powerful estate planning and gifting strategies only work if you execute them before the liquidity event. Gift shares before the IPO, and you can potentially lock in a low valuation while moving future appreciation out of your taxable estate. Wait until after, and you've missed the window—which may increase the future tax cost to your family. Now we're covering how to use that same moment to support your family—in ways that may compound for generations. Why Liquidity Events Create Estate Planning Leverage When your company is still private, your equity has a certain fair market value—based on the 409A valuation or recent funding rounds. But once the IPO happens or the acquisition closes, that same equity might be worth significantly more. Here's the opportunity: if you gift shares before the liquidity event, you can transfer them at the lower pre-event valuation. All the future appreciation—everything the shares gain after the gift—generally occurs outside your taxable estate. The Math of Pre-Event Gifting Let's say you hold private company stock currently valued at $2 million (based on 409A). Your company is approaching an IPO, and you expect the post-IPO value to be around $10 million. Gift after the IPO: You transfer $10 million in value That $10 million counts against your lifetime gift and estate tax exemption Future appreciation beyond $10 million happens outside your estate Gift before the IPO: You transfer $2 million in value (using only $2 million of your exemption) The stock appreciates to $10 million post-IPO—but that growth happens outside your estate If it continues growing to $15 million, all of that appreciation ($13 million total growth) is outside your estate The timing difference? You've used less of your lifetime exemption by gifting earlier and moved significantly more appreciation out of your taxable estate. Actual outcomes depend on future valuation and individual circumstances. The Current Estate Tax Landscape (2025) Understanding the current rules is critical because they can change over time. Lifetime Gift and Estate Tax Exemption: For 2025, each individual has a $13.99 million lifetime exemption. Married couples effectively have $27.98 million combined. This means you can gift or bequeath up to that amount without triggering federal gift or estate taxes. Recent legislative changes: In July 2025, the One Big Beautiful Bill Act (OBBBA) was signed into law, which: Made the increased exemption permanent (no sunset) Increased it to $15 million per person for 2026 ($30 million for couples) Provides for inflation adjustments going forward As a result, the urgency around "use it before 2026" has been eliminated. However, for those with estates that may exceed even the new higher limits, proactive gifting during liquidity events can remain a meaningful wealth transfer strategy. Annual Gift Exclusion: Separately from the lifetime exemption, you can gift up to $19,000 per person per year (2025) without using any of your lifetime exemption. Married couples can jointly gift $38,000 per person per year. This can be useful for ongoing gifts, but it is typically insufficient on its own to move significant equity during a liquidity event. Common Gifting Strategies to Consider There's no one-size-fits-all approach. The appropriate strategy depends on your net worth, your goals, your family structure, and your relationship with your wealth. Here are the most commonly used tools: Outright Gifts The simplest approach: you gift shares directly to your children, grandchildren, or other family members. Pros: Simple and straightforward No ongoing trust administration Recipient has complete control Cons: No asset protection for the recipient Loss of control over how the assets are used May be inappropriate for younger or financially inexperienced recipients This works well for modest gifts or for adult children who you trust to manage the assets responsibly. Intentionally Defective Grantor Trusts (IDGTs) An IDGT is a trust that's treated as "owned" by you for income tax purposes, but not for estate tax purposes. How it works: You create the trust and transfer assets (like pre-IPO stock) into it You pay income taxes on the trust's earnings—which allows the trust to grow faster The trust assets (and all future appreciation) are outside your estate Why "defective"? The trust is intentionally structured so that you, not the trust, pay the income taxes. This is actually a benefit—you're essentially making additional tax-free gifts to the trust by paying its taxes. When it makes sense: You want to move significant assets out of your estate You're comfortable with irrevocability You have sufficient other assets to pay your own living expenses and taxes Spousal Lifetime Access Trusts (SLATs) A SLAT is an irrevocable trust created for the benefit of your spouse (and potentially your children). How it works: You gift assets to the trust Your spouse may receive distributions from the trust Because your spouse has access, you indirectly retain some benefit The assets are outside your estate This strategy may be appropriate for couples seeking estate planning benefits while retaining indirect access, but it involves meaningful tradeoffs. . The Golden Rule: Give Before the Sale This is the single most important thing to understand about charitable giving during a liquidity event: Once you sell the stock, the opportunity for maximum tax efficiency may be significantly reduced. When you donate appreciated stock held in excess of one year before selling it, you can: Potentially avoid paying capital gains taxes on the donated shares Receive a charitable deduction for the full fair market value (subject to AGI limits) Give more to the causes you care about—at a lower personal cost When you sell first and donate cash later, you've already triggered the capital gains tax. You can still get a deduction for the cash donation, but you've severely limited the ability to avoid the gains tax entirely. Here's how it works: You donate long term held appreciated stock to the DAF before selling it You receive an immediate tax deduction for the fair market value (subject to AGI limits) The DAF sells the stock tax-free (since it's a charitable entity) You recommend grants to charities over time on your own schedule The key advantage: you get the tax benefit now, but you don't have to rush to decide which charities to support. You can take years to make those decisions. This is especially valuable during a liquidity event when you're dealing with multiple competing priorities and don't have time to research and vet charities. DAF Benefits Immediate deduction in a high-income year Take the deduction when it's worth the most to you—during the year of your liquidity event. No pressure to choose charities immediately You can think strategically about your giving over time rather than making rushed decisions. Easy to set up and manage Major providers like Fidelity Charitable, Schwab Charitable, Vanguard Charitable and local community foundations make this simple. Family involvement Many families use DAFs to involve children in philanthropy, teaching values while making real-world giving decisions together. Flexibility for future giving You can grant to multiple charities over many years, adjusting as your priorities evolve. What Types of Equity Can You Donate? Not all equity is equally easy to give. Here's what you need to know: ✅ Publicly-traded stock (post-IPO) Easy to donate, straightforward to value, immediate deduction based on market price. This is the simplest scenario. ⚠️ Private company stock (pre-IPO) Possible, but more complex. You'll need: Company approval (many private companies restrict transfers) A qualified appraisal to establish fair market value A charity willing to accept illiquid shares (many won't) Time to execute before the liquidity event If you're considering donating pre-IPO shares, start the conversation with your company's legal team and your advisors well in advance. ❌ RSUs (Restricted Stock Units) RSUs cannot be donated until they vest and convert to actual shares. But unless they're also preparing your taxes, there may be additional layers they likely do not see, details that can shape the advice they give you. Your tax return is a diagnostic tool. It reveals patterns, carryforwards, and income sources that don't show up in a portfolio statement. And when that diagnostic is combined with forward-looking information—vesting schedules, planned sales, retirement timing—it becomes possible to make more informed decisions before the tax year closes, not after. Here's what shows up on a tax return that rarely makes it into a typical investment review—and why it matters for proactive planning. The Full Picture of Your Income A financial advisor typically knows your salary and maybe your bonus structure. But the tax return shows everything: rental income from that property you bought years ago, K-1 distributions from a business you invested in, and the consulting income you pick up on the side. This matters because total income drives your tax bracket, your eligibility for Roth contributions, and whether you'll owe the 3.8% Net Investment Income Tax. A Roth conversion that looks smart based on your W-2 alone might push you into a higher bracket once all these other sources are accounted for. With full visibility, that decision can be modeled in advance—not identified at filing time. Equity Compensation Complexity For tech workers especially, equity compensation creates planning opportunities that may be invisible without return-level detail. ISO exercises, ESPP sales, and RSU income each have different tax treatments. The return reveals how prior equity events were taxed—whether you triggered AMT, whether an ESPP sale was a disqualifying disposition, and what that means for your overall tax picture. But one potential benefit comes from pairing that history with what's ahead. When your advisor also knows your vesting schedule and can model the tax impact of an upcoming ISO exercise or RSU vest, decisions may be considered proactively—adjusting withholding, timing sales, or coordinating with other income events before the year closes. Estimated Tax Payments and Withholding Patterns The tax return shows whether you owed a big balance or got a refund—and more importantly, why. Chronic underpayment often signals variable income that's not being planned for. Large refunds suggest withholding may be too high, which means cash could potentially have been invested. This information shapes cash flow planning in ways that don't show up in a portfolio review. If you routinely owe a significant amount every April, that changes how much liquidity you may need to keep outside your investment accounts—and influences when you might harvest gains or make charitable contributions. Seeing the pattern allows for adjustments throughout the year, not a scramble in Q4. Carryforwards You May Have Forgotten About Your advisor knows what's in your current portfolio. But the tax return shows the full history: capital loss carryforwards from years past, AMT credits waiting to be recovered, and passive losses that could be released with the right strategy. These carryforwards directly affect current-year decisions. A substantial capital loss carryforward might mean there's no need to harvest additional losses this year—or that it may be worth evaluating whether to recognize gains. AMT credits can be recovered through careful income management. Passive losses may be unlocked by a property sale or change in participation. Without visibility into these balances, planning happens in the dark. Income Thresholds That Trigger Hidden Costs High earners face a web of income-based surcharges and phase-outs that can create effective marginal rates well above the stated bracket. The Net Investment Income Tax kicks in at certain thresholds. IRMAA surcharges increase Medicare premiums based on income from two years prior. Various deductions phase out as income rises. The tax return provides the data to anticipate where you'll land relative to these thresholds. With that information in hand, a well-timed Roth conversion, charitable gift, or deferred income strategy may help manage exposure—but only if the decision is made with full visibility and enough time to act. What Integration Actually Looks Like The traditional model—where your CPA and financial advisor operate independently and maybe exchange a few emails at year-end—may not always capture every planning opportunity. By the time your CPA sees the full picture, the tax year is often closed. By the time your advisor makes portfolio decisions, they may be working with incomplete information. If you're an Anthropic employee, you probably already know your equity could be significant. What's less clear is what to actually do about it, and when. With a potential IPO on the horizon, some of the most valuable planning decisions need to happen before the company goes public, not after. Others don't matter until lockup expires. And a few will follow you for years. We work with people in exactly this situation, and we've found it helps to break the timeline into three phases: Pre-IPO, IPO Through Lockup, and Post-Lockup. Each one has different priorities, and different deadlines. Phase 1: Pre-IPO, The Window That's Open Now This is where the most time-sensitive planning happens. Once the company is public, several of these doors close. Start by understanding exactly what you hold. Anthropic employees may have RSUs, ISOs, NQSOs, or a mix, and many RSUs have double-trigger vesting, meaning they won't actually become yours until both a time-based schedule and a liquidity event like an IPO are met. Each type is taxed differently. RSUs and NQSOs are taxed like your regular salary. ISOs can qualify for a lower rate, but exercising them before the IPO can trigger a separate tax called the Alternative Minimum Tax (AMT), a tax that can create a meaningful bill on stock you can't yet sell. For employees holding ISOs, the question of when to exercise is one of the most time-sensitive decisions in this window. Here's why: when you exercise ISOs, the difference between your strike price and the current valuation can trigger AMT. For an employee with a meaningful ISO position, exercising everything in one year could mean a large tax bill before you have any liquidity. But exercising a smaller portion this year and the rest next year may help reduce the total tax cost, depending on your individual circumstances, because you're spreading the income across two years rather than overwhelming one. The specific numbers depend on your full income picture, but in many cases, spreading exercises across tax years may result in a lower total tax cost than exercising everything at once. They need to be modeled together. Most people have their CPA and their financial advisor as separate relationships, which means the tax analysis and the investment strategy are being built in different rooms. If Anthropic follows standard practice, there's a lockup period, typically 90 to 180 days after the listing, during which employees cannot sell shares. That constraint is actually useful. It gives you time to plan without the pressure to act. The employees who navigate IPOs well use this window to make decisions, not react to a stock price. First, solve the cash flow problem. When your double-trigger RSUs finally vest at the IPO, the full value is taxed as ordinary income, just like your salary, but potentially a much larger number. The issue is that the taxes withheld from your RSUs at vesting may not be enough to cover what you actually owe, especially when that RSU income stacks on top of your regular paycheck and any option exercises in the same year. In California, based on 2026 federal and state tax rates, the combined rate on ordinary income above $1 million can exceed 50% for certain taxpayers, depending on filing status and overall income composition. If there's a gap between what's been withheld and what you'll owe, you need cash to cover it, and during lockup, that cash can't come from selling shares. Then, design your sell plan. How much of your Anthropic position do you want to sell once lockup expires, and on what timeline? What does reducing your concentration actually look like for you: selling 25% of your shares? 50%? More? The right answer depends on what you need the proceeds for, how comfortable you are with the bulk of your wealth tied to a single stock, and what the rest of your financial picture looks like. Set those targets now, model what the tax bill would look like at different stock prices, and decide your approach before lockup expires. Phase 3: Post-Lockup, From Concentration to Diversification Lockup expires, and shares become tradable. For many Anthropic employees, the majority of their net worth may be tied to a single company. Moving from a concentrated position to a diversified portfolio may be one of the most significant financial decisions people in this situation face. Diversification does not guarantee against loss or eliminate risk, and selling a concentrated position will typically trigger a taxable event that should be evaluated in the context of your full financial plan. Concentration may have built this wealth, but it doesn't necessarily protect it going forward. Holding 70 to 90% of your net worth in one stock, no matter how much you believe in the company, carries a very different level of risk than a diversified portfolio. A single earnings miss, a regulatory change, or a competitive shift can move a concentrated position in ways that a diversified portfolio may not. The goal of Phase 3 isn't to bet against Anthropic. It's to build a financial foundation. Start with goals, then work backward. What does financial independence actually require for your household? What about a home purchase, education funding, or other near-term priorities? Quantify those goals, figure out the after-tax proceeds required to fund them, and sell enough to get there.
