California real estate transaction disputes are often based on either the wrongful non-performance of purchase contingencies, or the intentional non-disclosure or negligent inspection of defects. California residential real estate sales are usually governed by California Association of Realtors forms that require mediation before you can file for arbitration or court lawsuit. Breach of Real Estate Sale Contract (Escrow Cancellations) Sellers and Buyers of California property are required by law to perform the agreements of the sale agreement, including selling property or removing contingencies to purchase property. California real property sale agreements may contain an inspection contingency, appraisal contingency, loan contingency, or other contingency which the buyer must either waive initially, or remove after the applicable period in order to close escrow. If the buyer attempts to complete the contingencies, and in good faith is unable to do so, escrow is cancelled – without penalty – and the escrow deposit is returned to the buyer. However, if the buyer refuses to complete the purchase without a good faith reason, the seller can collect the escrow deposit as liquated damages. If the seller refuses to complete the sale after the buyer has waived all contingencies, the buyer can still pursue the purchase as “specific performance”. The seller cannot renege simply because they changed their mind or received a higher offer from a third party. In these situations, the buyer can enforce the purchase contract by seeking a Los Angeles County court to order the seller to sell the property as agreed. The seller may also be required to pay the buyer’s out-of-pocket expenses and attorney fees. If a real property seller or buyer wrongfully refuses to complete a sale under contract: 1) the buyer can force the sale of the property, or 2) the seller can recover the escrow deposit. Non-Disclosure of Real Estate Defects California real property sellers are required by law to disclose defects that they knew about or should have known about, including structural defects and unpermitted additions. Non-disclosure occurs when the seller (and sometimes their broker and agent) fails to disclose the true known condition of the property. The non-disclosure could be an intentional misrepresentation, negligent misrepresentation, concealment, constructive fraud, breach of contract, and/or breach of fiduciary duty. The sellers, their agents, and their brokers all have disclosure duties to a buyer of real estate in California. Many cases result in the buyer asserting liability against the seller, their agent, and their broker. Other cases are caused by a Negligent Inspection of Defects. Property inspectors are required to locate and disclose material defects that they discovered and/or should have known about that may affect appraisal value. Here are ten things you should know about prenuptial agreements: A prenuptial agreement will first reconfirm that all property acquired before marriage (and after separation), such as previously owned business interests, real estate, retirement accounts, investment accounts, and savings accounts, are the separate property of that spouse and will not be transferred to the other spouse upon divorce. A prenuptial agreement will second state that any increase in the value of previously owned separate property assets or accounts will not be transferred to the other spouse upon divorce. A prenuptial agreement will next define how parties will have separate (non-commingled) bank accounts for separate income and expenses, and joint bank accounts for joint expenses, and how parties will have separate responsibilities for their premarital debts, such as student loans, credit cards, mortgages, taxes, business debts, prior child support, etc. A prenuptial agreement will then define whether or how much in monthly spousal support (alimony) that one spouse will have or not have to pay the other spouse upon divorce. A prenuptial agreement may also include a stipulation for future joint child custody & visitation arrangements, in advance of a divorce, when the parties are of clear mind. A prenuptial agreement is advisable if either party has significant assets or income coming into the marriage, or it is anticipated that either party will acquire substantial assets or income during marriage. A prenuptial agreement is also advisable to predetermine how finances and assets will be held during the marriage and/or upon a divorce. A prenuptial agreement will ensure that a party’s assets remain theirs if the marriage fails. A prenuptial agreement may provide that their assets go to their children, or other relatives or friends, in the event of death. A prenuptial agreement prevents a potential future divorce from becoming contentious and/or expensive. However, all assets acquired prior to the marriage or after separation are separate property. The date of separation is factually arguable as either the date of the filing of the divorce petition or the date spouses physically separate from each other (and one spouse intends and acts to end the marital relationship). The exact date selected is important because the acquisition of assets or debts after the date of separation by either spouse will be considered separate property. The parties must place a monetary value for each category of community or separate property. Either party may prove asset value based on: personal knowledge of the item, online research tools such as Kelly Blue Book, or through an expert report. Family Business Generally, if a business began during the marriage with funds earned by either party during the marriage then the business is a community asset equally owed by the parties, no matter whose name in on the stock or in whose name the business is owned. In this instance, it may be necessary to determine the value of the business so as to divide this community asset. Determining the value of a family business can be extremely complicated not only because businesses may be inherently complicated to value, but also because self-employed spouses business valuation or income determination directly effects both the buy-out amount due to the other spouse as well as future child support or spousal support. The court will consider the financial records of businesses including tax returns, profit and loss statements, balance sheets, and customer invoices to determine the value and income of a small business. Family Residence Generally, if real property was purchased during the marriage with funds earned during the marriage then each party owns one half of the equity at the time of dissolution. If one party used separate funds to purchase the residence during the marriage, but community property income paid down the mortgage during the marriage, then the party who contributed separate funds to the purchase price is entitled to be reimbursed their investment. The remaining equity would then be split between the parties. If a residence was purchased prior to marriage by one party, but community funds were used to pay down the mortgage during the marriage, the community still has an interest in the home and equity that is subject to division by a court at the time of divorce. If one party cannot afford to buy-out the other parties’ equity (with money or other assets) in the family residence, then it may be necessary to sell the family residence and split the proceeds, if any, after the mortgage(s) and other community debts are paid. Asset Allocation Real and personal property, including homes, furnishings, appliances, electronics, vehicles, jewelry, furnishings and other personal possessions must be allocated by parties agreement, through counsel, or by the court during a divorce. Bank accounts, including savings, checking, cash, investments (stocks, bonds, mutual funds), retirement accounts (401(k), pension) must be allocated by the parties by agreement, through counsel, or by the court, during divorce. Family business, including its assets and management, must be allocated by the parties by agreement, through counsel, or by the court, during divorce. Debt Allocation Real property loans, mortgages, and lines of credit must be allocated to be paid be either or both parties. Personal loans, credit cards, tax obligations, and other debts must be allocated to be paid by either or both parties. Student loans must be allocated to be paid by either or both parties. Nonetheless, spouses may and often do agree, though counsel, to value and split their assets & debts in any manner they desire (Family Code §2550 (e)). In a California breach of contract, business fraud, or unfair business practice case, we analyze the concepts of performance, breach, and monetary loss (damages): Performance In order to enforce a contractual obligation, you must have performed your own conditions under a contract, or have a valid excuse that the other party prevented or waived your performance. [Civil Code 1439] Breach It is important when claiming breach or default, that the facts constituting the other party’s breach of contract are stated with certainty. For example, if the obligation of the contract is to pay you money, the breach consists of nonpayment. Or, the contract may call for performance of some service, and the breach consists of failure to perform the service, untimely performance of the service, or negligent performance of the service. Or, the contract may call for delivery of goods, and the breach consists of the failure to deliver the goods, untimely delivery, incomplete delivery, or defective goods. Sometimes, the time for performance has not yet occurred but there is an anticipated breach because they admitted they would be unable or unwilling to perform. Oftentimes, the other party will raise defenses or excuses for non-performance, and we will analyze and determine if their affirmative defenses have legal merit. Monetary Loss Actual Damages : For a breach of contract, you may recover the amount required to compensate you for the breach or the reasonable value of the services. [Civil Code 3300]. In addition to actual damages, you may also be entitled to consequential damages such as reasonably certain lost profits, expenditures incurred in reliance on the contract, or liquidated damages if the contract has a reasonable predetermined fixed penalty. [Civil Code 3287(a)] Interest Damages: If your loss is a definite amount (or capable of being made certain by calculation) and the right to recover was vested on a certain date, you are entitled to add interest from that date through the date of judgment at up to the judicial rate of ten percent (10%) interest per year. [Civil Code 3287] Punitive Damages : Although emotional pain & suffering is generally not compensable from a breach of contract, if there was an intentional fraud or theft, you may be entitled to recover a penalty that is often double or triple your actual loss if you can prove they have the assets to pay it. [Civil Code 3294] Attorney Fee Damages : If the written contract has a specific provision providing for attorney fees in the event of a default, you may be entitled to recover reasonable attorney fees. Alternatively, certain types of cases have statutory attorney fees imposed even if the contract does not contain an attorney fee provision.
